Terms of Service

1. Description of Service

Oravaa is a Voice AI platform that allows users to build, deploy, and manage conversational voice agents for inbound and outbound calling. We provide the infrastructure (via third-party LLMs and telephony providers), but You control the content, scripts, and list of contacts.

2. Eligibility & Account Registration

• B2B Only: The Service is intended for business use. By creating an account, you represent that you are authorized to enter into contracts on behalf of your business entity.
• Account Security: You are responsible for maintaining the confidentiality of your API keys and login credentials. You are liable for all activities that occur under your account.

3. Acceptable Use & Prohibited Conduct (Critical)

You agree to use Oravaa only for lawful purposes. You strictly agree NOT to use the Service to:

• Illegal Robocalls: Violate the TCPA (USA), TRAI regulations (India), GDPR (EU), or any other telemarketing or wiretapping laws.
• Impersonation: Simulate the voice of real people (deepfakes) without their explicit written consent, or impersonate government agencies, police, or emergency services.
• Harassment: Engage in harassment, hate speech, threats, or abuse.
• Fraud: Conduct scams, phishing, or deceptive financial practices.
• Sensitive Data: Collect sensitive health (HIPAA) or financial (PCI-DSS) data unless you have configured the system to be compliant with those specific standards (which requires a separate Enterprise agreement).

We reserve the right to immediately ban any account found violating these rules without refund.

4. Compliance & Indemnification

4.1 Client Responsibility

You acknowledge that you are the sole "initiator" of all calls made through your account. You certify that you have obtained all necessary consents (e.g., "opt-in") from the individuals you are calling.

4.2 Recording Consent

You are responsible for ensuring your use of call recording features complies with local laws (e.g., "Two-Party Consent" states in the US). You agree to configure your AI agent to announce that the call is being recorded if required by law.

4.3 Indemnification

You agree to indemnify, defend, and hold harmless Enigma Ventures Pvt. Ltd., its officers, directors, and employees from any claims, damages, fines (including TCPA or GDPR fines), or legal fees arising out of:

• Your use of the Service.
• Your violation of any laws or regulations.
• The content of your calls or scripts.
• Your failure to obtain consent from the people you call.

5. Fees and Payment

• Subscription & Usage: Services are billed on a subscription basis or usage-based model (e.g., per minute of conversation).
• Billing: You authorize us to charge your payment method on file.
• No Refunds: Payments are non-refundable, including if your account is terminated for violation of these Terms.
• Price Changes: We reserve the right to change pricing with 30 days' notice.

6. Intellectual Property

• Our IP: Oravaa, the underlying software, algorithms, and interface are the exclusive property of Enigma Ventures Pvt. Ltd.
• Your IP: You retain ownership of your customer lists, custom scripts, and call data. You grant us a license to process this data solely to provide the Service to you.

7. AI Disclaimers

You understand that the Service utilizes Artificial Intelligence (LLMs).

• Accuracy: AI can "hallucinate" or provide incorrect information. We do not guarantee the accuracy, reliability, or correctness of the AI's responses.
• No Professional Advice: The AI should not be relied upon for medical, legal, or financial advice.

8. Limitation of Liability

To the maximum extent permitted by law:

• Enigma Ventures Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data).
• Our total cumulative liability to you for any claims arising out of the Service shall strictly not exceed the amount you paid to us in the 12 months preceding the claim.

9. Termination

• By You: You may cancel your subscription at any time via the dashboard.
• By Us: We may suspend or terminate your access immediately if you breach these Terms (especially Section 3).

10. Governing Law and Dispute Resolution

• Jurisdiction: These Terms shall be governed by the laws of India.
• Dispute Resolution: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
